Terms of Service

Chai ("Service") is a web-based application created to provide an AI chatbot experience, accessible via web browser. It is used to send messages to AI bots.

The Licensed Application is not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.), so if your interactions would be subject to such laws, you may not use this Licensed Application. You may not use the Licensed Application in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2.1 You are given a non-transferable, non-exclusive, non-sublicensable license to access and use the Service through a web browser on devices that You own or control.

2.2 This license governs any updates of the Licensed Application provided by Licensor unless a separate license is provided for such update.

2.3 You may not share or make the Licensed Application available to third parties, sell, rent, lend, lease, or otherwise redistribute it without prior written consent.

2.4 You may not reverse engineer, disassemble, decompile, modify, or attempt to derive the source code of the Licensed Application without prior written consent.

2.5 You may not copy or alter the Licensed Application or remove any intellectual property notices.

2.6 Violations of these obligations may be subject to prosecution and damages.

2.7 Licensor reserves the right to modify the terms and conditions of licensing.

2.8 Nothing in this license restricts applicable third-party terms. You must ensure compliance with those terms when using the Licensed Application.

3.1 Licensor attempts to keep the Service updated to comply with current web standards and browser compatibility requirements. You are not granted rights to claim such updates.

3.2 It is Your responsibility to confirm that Your device satisfies the technical specifications required to use the Licensed Application.

3.3 Licensor reserves the right to modify technical specifications at any time.

4.1 Chai Research Corp. is not obligated to provide any maintenance, technical, or other support for the Licensed Application.

4.2 Chai Research Corp. and the End-User acknowledge that no third-party service has any obligation to furnish maintenance or support services with respect to the Licensed Application.

You acknowledge that Licensor will be able to access and adjust Your content and Your personal information stored in connection with the Service, and that Licensor's use of such material is subject to Your legal agreements with Licensor and Licensor's privacy policy.

Licensor may periodically collect and use technical data about your device, system, and application software to facilitate software updates and provide related services. This information may be used to improve its products, provided it does not personally identify you.

The Licensed Application may invite you to chat, contribute to, or participate in forums and other functionality. Any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you represent and warrant that:

1. Your Contributions do not infringe the proprietary rights of any third party.
2. You own or have the necessary licenses and permissions to use and authorize use of your Contributions.
3. You have obtained written consent of each identifiable individual in your Contributions.
4. Your Contributions are not false, inaccurate, or misleading.
5. Your Contributions are not unsolicited advertising, spam, or other forms of solicitation.
6. Your Contributions are not obscene, violent, harassing, or otherwise objectionable.
7. Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
8. Your Contributions do not threaten any person or promote violence.
9. Your Contributions do not violate any applicable law or regulation.
10. Your Contributions do not violate the privacy or publicity rights of any third party.
11. Your Contributions do not violate any law concerning child protection or minors' well-being.
12. Your Contributions do not include offensive comments connected to race, national origin, gender, sexual preference, or physical handicap.
13. Your Contributions do not otherwise violate any provision of this License Agreement.

By posting Contributions to the Licensed Application, you grant Chai Research Corp. an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide license to host, use, reproduce, publish, distribute, reformat, translate, and make derivative works of such Contributions for any purpose, in any media format and through any media channel.

You waive all moral rights in your Contributions. You retain full ownership of your Contributions, but you are solely responsible for their content. Chai Research Corp. has the right to edit, redact, recategorize, or delete any Contributions at any time without notice.

8.1 Licensor's responsibility in case of violation of obligations and tort shall be limited to intent and gross negligence. Liability for slight negligence applies only in cases of breach of essential contractual duties, and shall be limited to foreseeable, contractually typical damages. This limitation does not apply to injuries to life, limb, or health.

8.2 Licensor takes no accountability for damages caused due to a breach of duties under Section 2 of this License Agreement. You are required to use backup functions to the extent permitted by applicable third-party terms.

9.1 Licensor warrants that the Service is free of spyware, trojan horses, viruses, or any other malware and works as described in the user documentation.

9.2 No warranty is provided for the Licensed Application that has been unauthorizedly modified, handled inappropriately, or used with incompatible hardware or software.

9.3 If the Licensed Application is defective, Chai Research Corp. reserves the right to remedy the situation by solving the defect or substitute delivery.

9.4 In the event of any failure of the Service to conform to any applicable warranty, You may contact Chai Research Corp. using the contact details in Section 12. To the maximum extent permitted by law, no other warranty obligation shall exist.

9.5 For entrepreneurs, any claim based on faults expires after twelve (12) months after the Licensed Application was made available. Statutory periods of limitation apply for consumers.

Chai Research Corp. is responsible for addressing any claims of the End-User or any third party relating to the Licensed Application, including:

(i) product liability claims;
(ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement;
(iii) claims arising under consumer protection, privacy, or similar legislation.

You represent and warrant that You are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that You are not listed on any US Government list of prohibited or restricted parties.

This agreement is valid until terminated by Chai Research Corp. or by You. Your rights under this agreement will terminate automatically and without notice if You fail to adhere to any term herein. Upon termination, You shall immediately cease accessing and using the Service.

Chai Research Corp. will comply with applicable third-party terms of agreement in the operation of the Service. When using the Service, You must also ensure compliance with any applicable third-party terms and conditions.

Chai Research Corp. will be solely responsible for the investigation, defense, settlement, and discharge of any third-party claim that the Licensed Application or End-User's use of it infringes on the third party's intellectual property rights.

This License Agreement is governed by the laws of the State of California, excluding its conflicts of law rules.

17.1 If any term of this agreement becomes invalid, the validity of the remaining provisions shall not be affected. Invalid terms will be replaced by valid ones that achieve the same primary purpose.

17.2 Collateral agreements, changes, and amendments are only valid if laid down in writing.

17.3 Chai Research Corp. has no tolerance for objectionable content or abusive users. Users posting objectionable content or being abusive may be banned from the app without prior notice.
